These Terms of Service (“Terms of Conditions“ or “Terms“) are a legally binding agreement between you (“you“ or “your“) and TJMGLOBAL Digitech Pvt Ltd, doing business as Go4Database (“Go4Database“, “we“, “our“, or “us“) governing your use of the Service and your relationship with us.

You accept and agree to these Terms of Service by:

• Accessing or using the Service;

• Clicking to accept these Terms of Service; or

• Accepting these Terms of Service in any other way.

If you do not agree to these Terms of Service, you should not access (and you do not have our permission to access) the Service.

Important: Please note Sections 6 and 12 of these Terms which include important information regarding Personal Information you provide to us or receive from us. Please also note Section 7, which contains arbitration provisions that impact certain rights you might otherwise have regarding disputes.

AUTOMATIC RENEWAL NOTICE: Your subion will automatically renew for additional periods of time as specified in your ordering document, unless you provide notice of cancellation as set forth below. The terms of automatic renewal, including pricing and renewal periods, are set out in the order form and Section 4(c) of these Terms.

We may modify these Terms of Service (except for Section 7) in our sole discretion by posting updated versions of these Terms of Service on the Website or otherwise providing notice to you. All such changes shall become effective upon the posting of the revised Terms of Service on the Website or upon notice to you, as applicable.

“Go4Database DPA“ means the Data Processing Addendum applicable to Go4Database services.

“Authorized Users“ means your employees, service providers, or your wholly or majority-owned subsidiaries who have been expressly authorized by you to use the Services in accordance with these Terms.

“Beta Services“ means products, integrations, functionality, or features that Go4Database may make available to you to try at your discretion, which may be described as “alpha,“ “beta,“ “pilot,“ “limited release,“ “developer preview,“ “non-production,“ “early-stage“, or other similar deion.

“Business Contact Information“ means information about a natural person in a professional context, including but not limited to name, job title, employer, and contact information (such as email address and phone number), that is viewable in the Platform or made available to you as part of any of the Services.

“Contributor Database“ means Go4Database’s proprietary database of Business Contact Information and other business information that Go4Database makes available to you and other Go4Database customers through the Platform.

“Customer Data“ means all data, graphics, images, files, information, text, voice content, recordings, and other content and materials that are provided by you in any way to Go4Database for processing in connection with your use of the Services. Customer Data does not include Usage Data.

“Customer Third-Party Systems“ means any third-party products, systems, applications, or services that you choose to integrate with or use in connection with the Platform, including but not limited to CRM, marketing automation, or sales enablement software. Customer Third-Party Systems are not owned, operated, or controlled by Go4Database.

“Documentation“ means any documentation, operating manuals, and/or usage guides for the Platform provided by Go4Database, which may be updated from time to time.

“Order Form“ means any designated order form or other ordering document entered into between the parties specifying the Services purchased and fees payable.

“Personal Information“ includes any substantially similar terms to “personal information,“ “personal data,“ or “personally identifiable information“ as defined under applicable law.

“Platform“ means the software, systems, APIs, tools, infrastructure, analytics, updates, derivative works, Usage Data, Contributor Database, and add-ons provided by or through Go4Database to enable access to or use of the Services. The Platform does not include Customer Third-Party Systems.

“Platform Generated Information“ or “PGI“ means outputs created by you through use of the Services, including customized prospect lists, segmentation analyses, campaign performance reports, analytics, reports, visualizations, contact lists, prospect lists, and other business intelligence outputs derived from the Platform or Services.

“Services“ means the lead generation services and related offerings provided by Go4Database through or in connection with the Platform.

“Subion Fee“ means all fees stated in an Order Form and any other fees applicable to your subion.

“Usage Data“ means data related to your use of the Platform or Go4Database’s provision of the Platform, such as system performance data and usage statistics, excluding Customer Data and Personal Information.

“Website“ means any website or webpage on which these Terms appear.

Term License. Subject to your compliance with these Terms, Documentation, Order Forms, and applicable laws, Go4Database grants you a non-exclusive, non-transferable, non-sublicensable license during the Term to access and use the Services solely for your internal business purposes to:

• View the Contributor Database;

• Communicate with individuals in a professional or business context using Business Contact Information;

• Identify prospective sales opportunities, research customers and prospects, and conduct B2B sales, marketing, recruiting, and business development activities; and

• Use the Services for other appropriate B2B purposes consistent with the foregoing.

Perpetual License to PGI. Subject to your compliance with these Terms, Go4Database grants you a perpetual, worldwide, transferable, royalty-free license to use PGI for your internal business purposes. This license does not grant ownership of Go4Database’s underlying data sources, methodologies, or intellectual property.

You grant Go4Database a worldwide, non-exclusive, royalty-free license during the Term to host and process Customer Data to provide and support the Services. You further grant Go4Database a perpetual, irrevocable, worldwide, sublicensable, royalty-free license to analyze Customer Data using artificial intelligence to improve the Platform, provided that Go4Database will not publicly associate such analytics with you.

• Platform and PGI. All rights, title, and interest in the Platform and PGI are owned by Go4Database. These Terms grant no ownership rights to you.

• Customer Data. As between you and Go4Database, you retain ownership of Customer Data.

• Trademarks. Go4Database names and logos are trademarks of Go4Database and may not be used without prior written permission.

Go4Database will provide reasonable support during business hours but does not guarantee uninterrupted or error-free operation.

You agree to comply with all usage, technical, security, and legal restrictions set forth in these Terms, including prohibitions on resale, redistribution, scraping, reverse engineering, misuse of data, violation of marketing laws, creation of competing databases, and unauthorized API use.

You are responsible for all activities conducted through your account and by your Authorized Users.

Subions may be offered on a paid or unpaid basis. All fees are non-cancelable and non-refundable unless expressly stated otherwise in an Order Form. Subions automatically renew unless cancelled in writing at least thirty (30) days prior to the end of the term. Credits and service units expire as described in the applicable Order Form or pricing documentation.

Late payments may accrue interest, and Go4Database may suspend or terminate Services for non-payment.

Either party may terminate these Terms for material breach subject to notice and cure periods. Upon termination, your access to the Platform ceases, but you may retain PGI created during the Term, subject to these Terms.

Certain sections survive termination, including ownership, restrictions, fees, arbitration, indemnification, limitation of liability, confidentiality, and data protection provisions.

Each party represents that it has authority to enter into these Terms and will comply with applicable laws. Services and data are provided “AS IS“ without warranties of accuracy, completeness, or fitness for a particular purpose. You are responsible for ensuring lawful use of Business Contact Information and compliance with privacy and marketing laws.

Disputes arising out of or relating to these Terms or the Services shall be resolved by binding arbitration on an individual basis, except where prohibited by law. Class actions are waived. You may opt out of arbitration within forty-five (45) days of first accepting these Terms by emailing info@go4database.com.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

You agree to indemnify and hold harmless Go4Database, its affiliates, directors, officers, employees, and agents from claims arising out of your use of the Services, violation of these Terms, or Customer Data.

To the maximum extent permitted by law, Go4Database shall not be liable for indirect, incidental, or consequential damages. Go4Database’s total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

Each party agrees to protect the other’s Confidential Information and use it solely for purposes permitted under these Terms.

Go4Database may modify, suspend, or discontinue any part of the Services at any time and update fees or features accordingly.

Use of the Services is subject to Go4Database’s Privacy Policy and Data Processing Addendum. You are responsible for providing notices and obtaining consents required under applicable data protection laws.

These Terms constitute the entire agreement between you and Go4Database. You may not assign these Terms without consent. Notices should be sent to:
